Signatory Terms of Use

These terms apply to you when you are invited to view, verify or sign a document through Squigggle.

Squigggle is an electronic-signature service provided by N90 Labs Limited ("N90 Labs", "we", "us"). When someone (the "Sender") sends you a document through Squigggle, these Signatory Terms of Use ("Terms") govern your use of the Service to review, verify and sign it. If you do not agree, do not continue.

Who these Terms are between

These Terms are between you (the "Signatory") and N90 Labs. They cover only your use of the signing experience. The content of the document, and the agreement it contains, are between you and the Sender — not us.

We are not a party to the document you are signing and give no view on its meaning, accuracy or legal effect.

The signing process

To sign, you will be asked to review the document, verify your identity to the required level, and apply your electronic signature. Completing these steps creates your signature and adds it to the audit trail.

You may decline to sign. If you do, no signature is applied. You can ask the Sender any questions about the document before deciding.

Verification and your consent to sign electronically

We verify you using a one-time passcode ("OTP") sent to you by email and, where a higher signature level applies, an additional identity or qualified-verification step. You must not share your OTP with anyone.

By entering your OTP and completing the signing steps, you consent to sign electronically and agree that your electronic signature has the same effect as a handwritten signature. We process the contact details used to verify you as described in the "How we handle your personal data" section below.

You confirm that the contact details used to reach you are yours (or that you are authorised to use them), and that you are the person the Sender intended to sign.

Your confirmations

When you sign, you confirm that: (a) you have authority to sign (for yourself or for any organisation you sign on behalf of); (b) the information you provide is accurate; (c) you are not impersonating anyone; and (d) you are at least 18 years old and have the legal capacity to sign.

You must not use the Service for any unlawful or fraudulent purpose, or in breach of the "Things you must not do" section below.

How we handle your personal data

Roles.Who controls the personal data inside the document depends on who sent it. Where the document is sent by a business customer, the business customer is the controller and we act as its processor under our Data Processing Addendum, and the Sender's own privacy notice governs that data. Where the document is sent in a consumer signing transaction, N90 Labs is the controller, because a private individual signing a personal document is generally not acting as a data controller, and our Privacy Policy governs that data.

Verification data. For the contact details you use to verify and sign (such as your email or mobile number and the OTP), N90 Labs acts as controller. We process this data on the basis of our legitimate interests in the security and evidential integrity of the signing process. This lets us deliver and validate the OTP and maintain the audit trail.

We retain audit-trail data (including verification events) for evidential purposes for 7 years, even after the document is signed or your involvement ends.

Things you must not do

You must not: (a) interfere with or attempt to disrupt the Service or any associated systems; (b) attempt to gain unauthorised access to any account, document or data; (c) submit false or misleading information; (d) use the Service to infringe anyone's rights or to send unlawful content; or (e) use automated means to access the Service except as we expressly permit.

Disclaimers and our liability to you

We provide the signing experience with reasonable skill and care, but the Service is provided "as is" and "as available". We are not responsible for the document itself or for any dispute between you and the Sender.

Nothing in these Terms limits or excludes our liability where it would be unlawful to do so, including for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded under the Consumer Rights Act 2015.

Subject to the paragraph above on liability that cannot be excluded, and because we provide the signing experience to you at no charge, our total liability to you arising out of or in connection with these Terms is limited to £100. If you are a Consumer (an individual acting wholly or mainly outside your trade, business, craft or profession), this limit does not reduce your non-excludable statutory rights, and we remain responsible for foreseeable loss caused by our breach to the extent the law does not allow that liability to be limited.

Governing law and where you can bring claims

These Terms and any dispute arising out of them are governed by the law of England and Wales.

The courts of England and Wales have non-exclusive jurisdiction over these Terms.

If you are a Consumer, you may also bring proceedings in the courts of the part of the UK where you live, and the mandatory consumer-protection law of your home jurisdiction continues to apply to you regardless of the choice of English law above. If you are a Consumer resident in the European Union, you may instead bring proceedings in the courts of your country of residence, and we will bring any claim against you there.

General

We may update these Terms from time to time; the version that applies is the one in force when you sign. If any provision is unenforceable, the rest continues. A person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.
